Kumbai Partnership Agreement

Partnership Agreement — Kumbai B.V.
This agreement is entered into between Kumbai B.V., registered in Curaçao ("Kumbai"), and the partner identified above ("Operator").
1. Scope of Partnership
Kumbai grants the Operator the right to list its services on the Kumbai Experiences marketplace at kumbai.io. Kumbai will market, promote, and facilitate bookings for the Operator's services through its platform.
2. Commission
The Operator agrees to pay Kumbai a commission of — per person per completed booking. This commission is deducted from the deposit collected at the time of booking.
3. Payment Model
- Customers pay a non-refundable reservation deposit (Kumbai commission) to Kumbai at the time of booking
- Kumbai deducts its commission from this deposit
- The remainder of the deposit is paid out to the Operator by Kumbai
- The customer pays the remaining balance directly to the Operator on the day of the experience
4. Non-Refundable Deposit
The reservation deposit collected by Kumbai at the time of booking is non-refundable to the customer under any circumstances, including customer cancellations. Cancellations due to weather or force majeure are at the Operator's discretion and must be communicated to Kumbai in writing.
5. Operator Responsibilities
- The safety and wellbeing of the customer during the experience
- The quality and delivery of the service as described on the platform
- Compliance with all applicable local laws, permits, and safety standards
- Ensuring adequate insurance coverage for passengers and activities
- All equipment, vehicles, vessels, and personnel involved in the service
6. Customer Complaints
Any complaints from customers regarding the service, safety, quality, or conduct during the experience are the sole responsibility of the Operator. Kumbai acts as a booking platform only and is not liable for the service delivered by the Operator. The Operator agrees to handle all customer complaints directly and indemnifies Kumbai from any claims arising from the Operator's services.
7. Listing Accuracy
The Operator is responsible for providing accurate, up-to-date information about its services, pricing, availability, and meeting points. Any changes must be communicated to Kumbai promptly. Kumbai reserves the right to remove listings that contain inaccurate or misleading information.
8. Termination
Either party may terminate this agreement with 14 days written notice. Kumbai may suspend or remove an Operator's listings immediately if the Operator fails to deliver services, receives serious complaints, or violates applicable laws.
9. Platform Rules
The Operator agrees not to solicit Kumbai customers to book directly outside the platform. Commission is due on all bookings originating from Kumbai, regardless of where the final payment is collected.
10. Governing Law
This agreement is governed by the laws of Curaçao, Kingdom of the Netherlands.
